PLEASE READ THIS DOCUMENT CAREFULLY BEFORE ACCESSING OR USING THE SITE. BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS SET FORTH BELOW. CIQUERY MAY MODIFY THIS AGREEMENT AT ANY TIME (MORE DETAILS BELOW) AND AS SUCH, YOU AGREE TO REVIEW THE AGREEMENT PERIODICALLY TO BE AWARE OF SUCH MODIFICATIONS AND YOUR CONTINUED ACCESS OR USE OF THE SITE SHALL BE DEEMED YOUR CONCLUSIVE ACCEPTANCE OF THE MODIFIED AGREEMENT.
Definitions: In these terms and conditions, "we" and "us" means CIQUERY.COM, which is a trading name of CIQUERY LIMITED. "Service" means the whole of CIQUERY.COM and any other related media. "Material" means all content posted on ciquery.com by an CIQUERY official, CIQUERY EXPERT, or a Client
Modifications to TERMS OF AGREEMENT(TOA): CIQUERY may amend the TOA at any time and in any manner by posting the amended terms on our web site; The amended terms shall automatically be effective thirty (30) days after they are initially posted on our web site. This Agreement may not be otherwise amended except in a writing signed by both parties. This agreement was revised on 22nd August 2001. Each use by you of the Service reaffirms your agreement to be bound and to abide by the TOA as amended. If you do not wish to be bound by the TOA, you may continue to use neither the Service nor any software provided to you by CIQUERY, and you shall immediately terminate your account with the Service as set forth below.
Modifications to Service: CIQUERY reserves the right to modify or discontinue the Service with or without notice to User. CIQUERY shall not be liable to User or any third party should CIQUERY exercise its right to modify or discontinue the Service in CIQUERY'S sole and absolute discretion.
Eligibility for Membership: To become a CIQUERY EXPERT, you must be at least 18 years of age, agree to the TOA and Privacy Policy, and complete the Registration procedure. Our services are available only to individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to minors. If you do not qualify, please do not use our services. CIQUERY may refuse its services to anyone at any time, in our sole discretion.
CIQUERY EXPERT registration and Client Contract Information: (1) If you apply to become a CIQUERY EXPERT, you agree to provide true, accurate and complete information to CIQUERY via the Registration and any other form through which CIQUERY requests information from you, including but not limited to correct representations of skills, academic or other degrees, professional or related experience, and any other information that CIQUERY requests. As a CIQUERY EXPERT, you agree to maintain and update such information in order to keep it true, accurate and complete. If any information you provide is untrue, inaccurate, not current or incomplete, CIQUERY, in its sole discretion, may terminate your participation in the Service and refuse any future use of the Service by you including deletion of any payment accrued in your account at that point. You hereby grant CIQUERY a perpetual, irrevocable license to use, modify, reproduce, distribute, publicly display, publicly perform, digitally perform, create derivative works of, publish and otherwise use the information you submit to CIQUERY in such forms to operate and promote the Service, including but not limited to posting such information on the CIQUERY website, sending the information to CIQUERY users and others in email promotions, and including the information in any other promotional materials in any media.
(2) If you become a Client, you agree to provide true, accurate and complete information to CIQUERY via the Registration Process and any other form through which CIQUERY requests information from you, whether in writing or via the Service. If any information you provide is untrue, inaccurate, not current or incomplete, CIQUERY, in its sole discretion, may terminate in whole or in part your participation in the Service. As a Client, you agree to maintain and update such information in order to keep it true, accurate and complete.
Submission of Questions, Answers and other Content:As part of the CIQUERY Service, Clients or CIQUERY EXPERTS may submit questions on various topics and CIQUERY EXPERTS may offer answers to the questions. These questions, answers and any other information exchanged between Clients and Experts (whether via the Service,email, phone or any other medium), or between Clients and/or CIQUERY Experts and CIQUERY, are "Content" for purposes of this TOA. You acknowledge that CIQUERY and its designees have the right (but not the obligation) in their sole discretion to refuse any submissions or remove any Content from the Service. By submitting Content to CIQUERY in the context of using the site, you agree you will not: (1) Transmit any message, information, data, text, software or images, or Material that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or otherwise objectionable that may invade another's right of privacy or publicity (2) Impersonate any person or entity, including but not limited to, an ciquery.com official, moderator, guide or host or falsely state or otherwise misrepresent your affiliation with a person or entity (3) Post or transmit any Material that you do not have a right to reproduce, display or transmit under any law or under contractual or fiduciary relationships (such as nondisclosure agreements) (4) Post or transmit any Material that contains a virus or corrupted data (5) Delete any author attributions, legal notices or proprietary designations or labels that you upload to any communication feature (6) Use the Site's communication features in a manner that adversely affects the availability of its resources to other users (e.g., excessive shouting, use of all caps, or flooding continuous posting of repetitive text) (7) Post or transmit any unsolicited advertising, promotional materials, "junk mail", "spam,""chain letters," "pyramid schemes" or any other form of solicitation or any non-resume information such as opinions or notices, commercial or otherwise (8) Violate any applicable local, state, national or international law (9) Upload or transmit any Material that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party (10) Delete or revise any Material posted by any other person or entity (11) Manipulate or otherwise display the Site by using framing or similar navigational technology.
Fees: Joining CIQUERY is free. Our then-current Fees and Credit Policies for selling services on CIQUERY are available at http://www.CIQUERY.com/charges.htm, and are incorporated herein by reference. Unless otherwise stated, all fees are quoted in U.S. Dollars. You are responsible for paying all applicable taxes and for all hardware, software, service and other costs you incur to bid, buy, procure a listing from us or access our servers. You are responsible for obtaining and maintaining the equipment and telephone services necessary to access and use the Service and for any telephone charges associated with connecting to the Service. We may in our sole discretion add, delete or change some or all of our services or amend our fee schedule or our fees and credit policies at any time.
User name and password: On registering with us, it is deemed that you have set up your own user name and password which must be used in order to access certain restricted parts of the Service. The user name and password are personal to you and are not transferable. . Your name and password are the methods used by us to identify you and so are very important. You are responsible for all information posted on the Service by anyone using your user name and password and any payments due for services accessed through the Service by anyone using your user name and password. Any breach of security of a user name and password should be notified to us immediately.
No Price Manipulation: Users posting a question may not manipulate the value ($ or points) of their question, either by a secondary account / third party or by bidding themselves.
System Integrity: You may not use any device, software or routine to interfere or attempt to interfere with the proper working of the CIQUERY site or any auction or transaction being conducted on our site. You may not take any action which imposes an unreasonable or disproportionately large load on our infrastructure. You may not disclose or share your password to any third parties or use your password for any unauthorized purpose.
Exclusions of liability (1) We use reasonable endeavours to ensure that the data on the Website is accurate and to correct any errors or omissions as soon as practicable after being notified of them. We do not monitor, verify or endorse information submitted by third parties for posting on the Website and you should be aware that such information may be inaccurate, incomplete or out of date. To the extent permitted by applicable law, we disclaim all warranties and representations (whether express or implied) as to the accuracy of any information contained on the Website. We do not guarantee that the Website will be fault free and do not accept liability for any errors or omissions. (2) Due to the nature of electronic transmission of data over the internet, and the number of users by whom data is posted on to the Website, any liability we may have for any losses or claims arising from an inability to access the Website, or from any use of the Website or reliance on the data transmitted using the Website, is excluded to the fullest extent permissible by law. In no event shall we be liable for any loss of profit, revenues, goodwill, opportunity, business, anticipated savings or other indirect or consequential loss of any kind in contract, tort (including negligence) or otherwise arising out of use of the Website, save where such liability cannot be excluded by law. (3) We do not give any warranty that the Website is free from viruses or anything else which may have a harmful effect on any technology
No Agency: You and CIQUERY are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchise
Termination (1) We may terminate your access to the Website and the services within it on not less than three days' written notice to you. (2) All disclaimers, indemnities and exclusions in this agreement shall survive termination of this Agreement for any reason. (3) General (3.1) If any provision of these terms and conditions is held to be unlawful, invalid or unenforceable, that provision shall be deemed severed and the validity and enforceability of the remaining provisions of these terms and conditions shall not be affected. (3.2) We may modify these terms and conditions at any time by publishing the modified terms and conditions on the Website. Any modifications shall take effect 3 days after posting on the Website. (4) Governing law: These terms are governed by and to be construed in accordance with English law. (4.2) Any disputes shall be subject to the exclusive jurisdiction of the English courts.
